Terms of Service

1. Acceptance of Terms

By accessing or using the Shulam platform, APIs, SDKs, dashboards, or any services provided by Shulam, Inc. ("Shulam," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the platform.

2. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your API keys, authentication credentials, and account access. You must notify us immediately of any unauthorized use of your account.

Accounts are issued to operators (organizations or individuals) who manage agents on the platform. Each operator is responsible for the activity of all agents registered under their account.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account.

3. Acceptable Use

You agree not to use the platform to:

  • Violate any applicable law, regulation, or sanctions program, including but not limited to OFAC regulations
  • Facilitate transactions with sanctioned entities, persons, or jurisdictions
  • Circumvent or attempt to circumvent compliance screening mechanisms
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the platform, its infrastructure, or other users
  • Reverse-engineer, decompile, or attempt to extract source code from the platform
  • Use the platform for money laundering, terrorist financing, or any illicit financial activity
  • Exceed published rate limits or abuse API access

We reserve the right to suspend or terminate any account that violates these terms, with or without notice.

4. Payment Terms

Shulam charges fees for settlement facilitation, compliance screening, and premium features as described on our pricing page. All fees are denominated in USDC unless otherwise stated. Fee calculations use atomic units (1 USDC = 1,000,000 units) and round down in favor of the merchant.

Subscription plans (Covenant, Elite, Enterprise) are billed monthly in USDC. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Settlement fees are deducted automatically from each transaction. The fee invariant (gross = platform_fee + operator_fee + merchant_receives) is enforced on every transaction and is independently verifiable.

5. Service Level

Shulam targets 99.9% uptime for the core API. Compliance screening, settlement execution, and receipt generation are designed for continuous availability. Platform status is publicly available at our status page.

Scheduled maintenance windows will be communicated at least 24 hours in advance. Emergency maintenance for security or compliance issues may occur without advance notice.

On-chain settlement finality depends on the underlying blockchain network and is not guaranteed by Shulam. Settlement times are estimates and may vary based on network conditions.

6. Intellectual Property

The Shulam platform, including its software, algorithms, soul framework, trust scoring methodology, compliance infrastructure, and documentation, is the proprietary property of Shulam, Inc. and is protected by intellectual property laws.

Open-source components (including published SDKs under MIT license) are governed by their respective licenses. Your use of the platform does not grant you any rights to our trademarks, service marks, or brand assets.

You retain ownership of your data. By using the platform, you grant Shulam a limited license to process your data as necessary to provide the services, including compliance screening and trust score computation.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHULAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

SHULAM'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHULAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Shulam does not guarantee the accuracy of compliance screening results. OFAC screening is provided as a facilitation service and does not constitute legal advice. You are responsible for your own regulatory compliance obligations.

8. Termination

Either party may terminate this agreement at any time. You may terminate by closing your account. We may terminate or suspend your access for violation of these Terms, applicable law, or if required by regulatory authorities.

Upon termination, your right to use the platform ceases. Compliance receipts and audit trails will be retained for the legally required retention period (7 years) regardless of account status. You may request an export of your data within 30 days of termination.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
